UK-based Aesica Pharmaceuticals, a developer and manufacturer of active ingredients, has signed agreements ahead of acquiring three manufacturing sites in Germany and Italy. The acquisition of the European sites from Belgium-based drugmaker UCB (UCB: BR) in Monheim, Zwickau and Pianezza demonstrates Aesica's commitment to continually enhancing its service offering to the global pharmaceutical and biotechnology industries, the company said. Indian drugmaker Sun Pharmaceutical Industries (SUNP: IN) revealed that the Supreme Court of Israel has unanimously dismissed the appeal by Taro Pharmaceutical Industries (Pink Sheets: TAROF) of the previous ruling by the Tel-Aviv District Court holding that the Israeli special tender offer rules do not apply to Sun's subsidiary, Alkaloida Chemical to purchase all outstanding ordinary shares of Taro for $7.75 net per share in cash. The Court also lifted its temporary order that prohibited the closing of the offer prior to its ruling. 9 September 2010

After several months of negations, starting with an offer that was later reduced, Australia's troubled drugmaker Sigma Pharmaceuticals says that it has finally agreed in principle to sell its Pharmaceuticals Division to South Africa's Aspen Pharmacare for A$900 million ($807 million), above the last bid but still less than the original, unsolicited A$1.49 billion offer for the whole company (The Pharma Letters passim). Aspen first approached Sigma in May, offering A$0.60 a share then, in July, cut its offer to A$0.55 a share. 16 August 2010

US generic drugmaker Mylan says it will acquire privately-held Ireland based Bioniche Pharma for $550 million in cash. Bioniche will provide Mylan not only an immediate entry into the North American injectables market but also a platform for future growth opportunities, said Mylan. The transaction is expected to be accretive to Mylan's earnings in year one, without accounting for any operational or other synergies. 15 July 2010
