USA-based Sucampo Pharmaceuticals (Nasdaq: SCMP) has launched an all-cash tender offer to acquire Japan’s R-Tech Ueno (TYO: 4573), a firm created by Sucampo’s original founders.
Sucampo has offered a total consideration of 33 billion yen, or around $278 million, inclusive of about $54 million in cash and 2.5 million Sucampo shares (5.5% of shares outstanding), held by R-Tech Ueno. The purchase price reflects a 16% premium over R-Tech Ueno's one-month volume weighted average price and a 16% premium over R-Tech Ueno's three-month volume weighted average price.
